ARTICLE XI

WAIVER OF NOTICE AND ACTION WITHOUT A MEETING

Whenever any notice is required under the provision of the Articles of Incorporation, these bylaws, or law, a waiver signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.

Any action requiring or permitted to be taken pursuant to these bylaws may be taken without a meeting if all members of the acting body consent. The written consents thereto by the members of the acting body shall be filed with the minutes of the proceedings.

Any meeting provided for herein may be held my means of conference call, computer or electronic mail or similar communication method which allows all persons participating in the meeting to simultaneously receive the communication of others participating.
